1. Acceptance of Terms
By accessing or using the website ouzir.com (the "Site") or engaging the services provided by Ouzir ("we," "us," or "our"), you ("Client" or "you") agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree with any part of these Terms, you must discontinue use of our Site and Services immediately.
2. Services Provided
Ouzir provides digital solutions including, but not limited to, web development, software engineering, technical SEO, digital marketing, e-commerce development, and brand strategy (collectively, the "Services"). Specific project scope, deliverables, timelines, and fees will be outlined in a separate proposal or service agreement ("Project Agreement").
3. Intellectual Property
a. Ouzir's IP: All pre-existing materials, proprietary tools, frameworks, code libraries, and know-how remain the sole and exclusive property of Ouzir.
b. Client Materials: You warrant that you own or have necessary rights to any materials you provide for use in a project.
c. Project Deliverables: Upon full and final payment, the specific final deliverables outlined in the Project Agreement (e.g., compiled website files, exported designs) will be transferred to you. Source files or repositories (e.g., Figma/PSD files, raw code repositories) are only included if explicitly listed in the Project Agreement. Ouzir retains the right to display completed work in our portfolio and marketing materials.
4. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely information, feedback, and approvals.
- Appoint a single point of contact for efficient communication.
- Secure necessary licenses or permissions for third-party materials (e.g., fonts, imagery).
5. Fees, Payments & Refunds
a. The fees for the Services will be specified in the Project Agreement.
b. Unless otherwise agreed, a deposit is required to initiate work.
c. Deposits are non-refundable once work has commenced, as they cover planning, resource allocation, and initial project setup.
d. Final deliverables are released upon full and final payment.
e. Late payments may be subject to interest charges of 1.5% per month or may result in suspension of services.
6. Scope, Revisions & Change Requests
a. Services are limited to the scope defined in the Project Agreement.
b. Reasonable revisions are included as outlined in the agreement.
c. Requests outside of the agreed scope (e.g., additional features, new pages, extra campaigns) will be quoted and billed separately.
7. Warranties and Limitations
a. Ouzir warrants that Services will be performed in a professional and workmanlike manner.
b. We do not guarantee specific outcomes such as search engine rankings, profit increases, or conversion rates, as these depend on external factors beyond our control (e.g., search engine algorithms, market conditions).
c. Our total liability for any claim shall not exceed the total fees paid by you for the Services giving rise to the claim.
8. Confidentiality & Data Protection
Both parties agree to maintain confidentiality of proprietary or sensitive information disclosed during a project. Ouzir complies with applicable data protection and privacy laws, including GDPR where applicable, to safeguard client data.
9. Termination
Either party may terminate a Project Agreement for material breach upon written notice if the breach is not cured within 14 days. Upon termination, the Client will pay for all Services rendered and expenses incurred up to the termination date. Deposits remain non-refundable. Ouzir will make commercially reasonable efforts to deliver all partially completed work that has been paid for.
10. Third-Party Services
Our Services may involve third-party platforms or services (e.g., hosting, APIs, plugins). Their use is subject to their own terms and conditions, and Ouzir is not liable for their performance, downtime, or changes.
11. Force Majeure
Ouzir shall not be liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, labor disputes, internet outages, or third-party service failures.
12. Dispute Resolution
In the event of a dispute, both parties agree to first attempt to resolve the issue amicably through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration under the rules of the Bangladesh International Arbitration Centre (BIAC) in Dhaka, in accordance with the Arbitration Act 2001. Judgment may be entered on the award in any court of competent jurisdiction.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of The People’s Republic of Bangladesh, without regard to conflict of law principles.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Updates will be posted on this page with the revised "Last Updated" date. Continued use of our Services after such changes constitutes acceptance of the updated Terms.
